David F. Brown

David F. Brown, born Orange, New Jersey, September 22, 1955; admitted to bar, 1981, California. Preparatory education, University of California, Irvine (B.S., cum laude, 1977); legal education, University of California, Los Angeles (J.D., 1981). Fraternity: Phi Beta Kappa. Member: Orange County Bar Association (Member: Business Litigation Section; Real Estate Law Section; Commercial and Bankruptcy Law Section); and American Bar Association (Member: Litigation Section).

Mr. Brown has practiced with Corbett, Steelman & Specter for over twenty years primarily in the areas of commercial, franchise, professional liability, real estate, escrow, work out and foreclosure and bankruptcy litigation, and real estate acquisition, loan and lease transactions. His real estate litigation experience includes representation of sellers/purchasers, landlords/tenants, owners, developers and construction lenders in real estate disputes. Mr. Brown also is skilled in drafting and negotiating documentation for real property purchases and sales, leasing transactions, easement and license agreements, loans and workouts of secured real property transactions.

Mr. Brown's bankruptcy experience entails representation of creditors in relief from stay actions, objections to dischargeability of debt, assumption/rejection of leases, and avoidance of lien claims. Mr. Brown has represented franchisor and affiliated persons, escrow companies and officers, insurance brokers and agents, and real estate brokers and agents and attorneys in the defense of professional liability claims including breach of fiduciary duty, negligence and fraud. He has represented franchisors and their officers and directors in securities and franchise fraud litigation and attorneys in securities and RICO actions. Mr. Brown has successfully defended professional liability cases including obtaining judgments of non suit and dismissal, a defense award in binding arbitration and the successful defense of appeals in such cases.

Mr. Brown has also represented manufacturers, distributors and vendors in connection with purchase and supply agreements, distribution agreements, sale representative agreements and marketing and promotional services agreements. Mr. Brown also has experience in general business matters including incorporations and trademark registration for start-up businesses and asset purchase and sales transactions.
